June 28, 2013 ? NASA's Interface Region Imaging Spectrograph (IRIS) spacecraft launched Thursday at 7:27 p.m. PDT (10:27 p.m. EDT) from Vandenberg Air Force Base, Calif. The mission to study the solar atmosphere was placed in orbit by an Orbital Sciences Corporation Pegasus XL rocket.
"We are thrilled to add IRIS to the suite of NASA missions studying the sun," said John Grunsfeld, NASA's associate administrator for science in Washington. "IRIS will help scientists understand the mysterious and energetic interface between the surface and corona of the sun."
IRIS is a NASA Explorer Mission to observe how solar material moves, gathers energy and heats up as it travels through a little-understood region in the sun's lower atmosphere. This interface region between the sun's photosphere and corona powers its dynamic million-degree atmosphere and drives the solar wind. The interface region also is where most of the sun's ultraviolet emission is generated. These emissions impact the near-Earth space environment and Earth's climate.
The Pegasus XL carrying IRIS was deployed from an Orbital L-1011 carrier aircraft over the Pacific Ocean at an altitude of 39,000 feet, off the central coast of California about 100 miles northwest of Vandenberg. The rocket placed IRIS into a sun-synchronous polar orbit that will allow it to make almost continuous solar observations during its two-year mission.
The L-1011 took off from Vandenberg at 6:30 p.m. PDT and flew to the drop point over the Pacific Ocean, where the aircraft released the Pegasus XL from beneath its belly. The first stage ignited five seconds later to carry IRIS into space. IRIS successfully separated from the third stage of the Pegasus rocket at 7:40 p.m. At 8:05 p.m., the IRIS team confirmed the spacecraft had successfully deployed its solar arrays, has power and has acquired the sun, indications that all systems are operating as expected.
"Congratulations to the entire team on the successful development and deployment of the IRIS mission," said IRIS project manager Gary Kushner of the Lockheed Martin Solar and Atmospheric Laboratory in Palo Alto, Calif. "Now that IRIS is in orbit, we can begin our 30-day engineering checkout followed by a 30-day science checkout and calibration period."
IRIS is expected to start science observations upon completion of its 60-day commissioning phase. During this phase the team will check image quality and perform calibrations and other tests to ensure a successful mission.
NASA's Explorer Program at Goddard Space Flight Center in Greenbelt, Md., provides overall management of the IRIS mission. The principal investigator institution is Lockheed Martin Space Systems Advanced Technology Center. NASA's Ames Research Center will perform ground commanding and flight operations and receive science data and spacecraft telemetry.
The Smithsonian Astrophysical Observatory designed the IRIS telescope. The Norwegian Space Centre and NASA's Near Earth Network provide the ground stations using antennas at Svalbard, Norway; Fairbanks, Alaska; McMurdo, Antarctica; and Wallops Island, Va. NASA's Launch Services Program at the agency's Kennedy Space Center in Florida is responsible for the launch service procurement, including managing the launch and countdown. Orbital Sciences Corporation provided the L-1011 aircraft and Pegasus XL launch system.

Just as BlackBerry surprised investors last quarter by posting a profit, so too has it surprised this quarter by posting a loss. The company on Friday reported a fiscal first-quarter loss of $0.13 per share, missing expectations that it would post a profit of $0.06 per share. The company recorded revenues of $3.1 billion, which also missed the consensus projection of $3.36 billion. The company shipped a total of 6.8 million smartphones in the quarter, and it did not state how many of those were BlackBerry 10 devices.?BlackBerry shares plummeted more than 17% during Friday?s pre-market session following the company?s earnings report. Q1 Results
Revenue for the first quarter of fiscal 2014 was $3.1 billion, up 15% from $2.7 billion in the previous quarter and up 9% from $2.8 billion in the same quarter of fiscal 2013. The revenue breakdown for the quarter was approximately 71% for hardware, 26% for service and 3% for software and other revenue. During the quarter, the Company shipped 6.8 million BlackBerry smartphones and approximately 100,000 BlackBerry PlayBook tablets.
GAAP loss from continuing operations for the quarter was $84 million, or $0.16 per share diluted, compared with a GAAP income from continuing operations of $94 million, or diluted earnings per share of $0.18, in the prior quarter and GAAP loss from continuing operations of $510 million, or $0.97 per share diluted, in the same quarter last year.
Adjusted loss from continuing operations for the first quarter was $67 million, or $0.13 per share diluted. Adjusted loss from continuing operations and adjusted diluted loss per share exclude the impact of pre-tax charges of $26 million ($17 million on an after tax basis) related to the Cost Optimization and Resource Efficiency (?CORE?) program. This impact on GAAP loss from continuing operations and diluted loss per share from continuing operations are summarized in the table below.
The total of cash, cash equivalents, short-term and long-term investments was $3.1 billion as of June 1, 2013, compared to $2.9 billion at the end of the previous quarter, an increase of approximately $200 million from the prior quarter. Cash flow from operations in the first quarter was approximately $630 million. Uses of cash included intangible asset additions of approximately $335 million and capital expenditures of approximately $83 million.

?But just because millions of Americans refuse to get ObamaCare-qualified coverage doesn?t mean they will be uninsured. ?There are policies available now that would work very well for the ObamaCare avoiders.Some of these policies are built on a life insurance platform rather than health insurance ? which, incidentally, means they are outside ObamaCare?s long arm of regulatory control.
The customer buys a life insurance policy that pays up to $250,000 upon death, which I believe is the current maximum available for this kind of policy.
Along with life insurance coverage the policy includes what?s called a ?critical illness? component. ?If the policyholder needs, say, surgery, the insurer writes the policyholder a check based on a schedule. ?Let?s say, for example, it?s $10,000.
The policyholder has $10,000 in hand to pay for the medical care ? or, frankly, anything else since the money belongs to the insured ? but the value of his life insurance benefit is reduced by the same amount, to $240,000. ?Thus the critical illness component simply accelerates the benefit payout.
One existing policy pays 100 percent for heart attack, stroke, life-threatening cancer, major organ transplant, kidney failure, Alzheimer?s and paralysis, among other medical conditions.
The policyholder could also be part of a provider network that provides a discounted rate for the care ? one of the most important current benefits of having health insurance.
How much would such a policy cost? ?For one company, a 30-year-old male would pay $1,438 a year, and for a 50-year-old male it?s $3,234.
And remember, this isn?t just health coverage. ?In the event of a tragic accident or illness, whatever is left of the benefit goes to the estate upon death.
If ObamaCare proves to be the train wreck that Democratic Senator Max Baucus fears ? who, incidentally, is largely responsible for its current structure ? then millions of Americans from all income categories may decide to opt out. ?Many will still want something, at least until they get a major medical condition whereupon they can then go back into ObamaCare coverage. ?And they can still keep their life insurance policy along with its critical illness benefits. ?Good times!

For Americans and legal immigrants in traditional marriages, obtaining a green card for a foreign spouse is relatively easy.
Traditionally, American citizens have been able to sponsor their foreign-born spouses for residency visas, known as green cards. But under DOMA, lesbian, gay, bisexual and transgender Americans did not have the same right. And as a result, U.S. businesses have watched as some of their most talented employees leave to live with their foreign-born partners abroad.
In March, 28 U.S. companies signed off on a letter urging Congress to recognize same-sex unions for immigration purposes. Texas Instruments (TXN), US Airways (LCC), Marriott International (MAR), and others said making it possible for foreign-born spouses to live and work in the U.S. makes business sense. Companies go through the expense of relocating gay and lesbian employees, only to lose them because of their spouse's visa problems. "We cannot afford to lose our most precious resource: talent," the letter stated.

The barriers have also hindered companies from taking on new workers. According to a recent survey by the American Council on International Personnel, an association of employers that advocates immigration reform, 42% of member organizations said they have missed out on hiring opportunities because U.S. immigration law precluded the prospective employee from bringing his or her same-sex partner into the country.
Many binational same-sex couples chose to live abroad rather than in America. Martha McDevitt-Pugh, for instance, spent many years working at Silicon Valley-based Informix Software, where she ran the database software firm's education and publications arm. Managing a department of 80 people, she was a key player in overseeing the company's reorganization ahead of its later split and acquisition by IBM. But when it was time to choose between her career and her same-sex partner, an Australian-born woman living in the Netherlands, she reluctantly decided to leave her job and take her talents overseas.
Some same-sex couples have found ways to live together in the United States. When former U.S. Representative Jim Kolbe (R-Ariz.) could not sponsor his Panamanian partner, Hector Alfonso, for an American visa, Alfonso successfully applied under the EB-5 investor visa program. This program grants visas to individuals who make a substantial capital investment (over $500,000) in America that creates or preserves at least 10 jobs. Kolbe acknowledged in an interview that he and Alfonso had to dig into their retirement savings to pursue this option, and that it would not be economically feasible for most couples.
Before Wednesday's ruling, Democratic Sen. Patrick Leahy of Vermont pushed an amendment to the immigration bill that would have removed such hurdles for binational same-sex couples seeking to live in America. The Leahy Amendment would have effectively recognized same-sex unions in the context of immigration law, but it faced massive bipartisan opposition, including some from Democrats who supported it in principle but feared that it would kill the immigration deal.

Leahy had offered his amendment again. But with the court's decision, the issue is moot. The ruling will allow LGBT Americans to sponsor their legally married partners for visas under the expedited track federal immigration law provides for spouses of U.S. citizens.
Nonetheless, Corporate America's support of the principles of the Leahy Amendment highlights a massive shift in public opinion as more and more Americans support legal equality for gays and lesbians. "What's notable ... is that global companies are leaders" on this issue, said Rachel Tiven, Executive Director of Immigration Equality, an LGBT rights advocacy group. "They are way out front in saying that what they care about is, are you good at your job?"
McDevitt-Pugh, at least, is eager to return to the United States. She misses the "entrepreneurial opportunities" available in America, she said in an email. "Opening up immigration to LGBT families [will] stop the brain drain of talented Americans."

LAS VEGAS (AP) ? A high pressure system parking over the West is expected to bring temperatures this weekend and into next week that are extreme even for a region used to baking during the summer.
Notoriously hot Death Valley's forecast calls for 129 degrees, not far off the world record of 134 logged there July 10, 1913. The National Weather Service called for 118 in Phoenix, and at least 117 in Las Vegas on Sunday ? a mark reached only twice in Sin City.
"It's brutal out there," said Leslie Carmine, spokeswoman for Catholic Charities, which runs a daytime shelter in Las Vegas to draw homeless people out of the heat and set them up with sunscreen and bottled water.
Meteorologists are calling for highs at or above 112 through Wednesday in Las Vegas, and there isn't even relief when the sun goes down. Sunday night's low is forecast to be 92 degrees ? enough to make for a stuffy stroll down the Strip at whatever hour tourists leave the bar.
Two Elvis impersonators and a performer costumed as the iconic "Welcome to Fabulous Las Vegas" sign said they still planned to keep up their routine of working the tourist corridor in the broad daylight and turning in for the evenings, heat notwithstanding.
"We'd much rather fight with the sun than fight with the drunk people," Elvis impersonator Cristian Morales said Thursday.
While the Southwest boasts the most alarming temperatures, the heat wave is driving up the mercury all over the West. Western Washington ? better known for rainy coffee shop weather ? should break the 90s early next week, according to the weather service.
Dry southern Utah is forecast to reach higher than 110 degrees, and northern Utah ? which markets "the greatest snow on Earth" ? is also expected to hit the triple digits.
The heat wave is "a huge one," National Weather Service specialist Stuart Seto said. "We haven't seen one like this for several years, probably the mid- to late 2000s."
The system's high pressure causes air to sink and warm, drawing down humidity.
"As the air warms, it can hold more moisture, and so what that does is take out the clouds," Seto said.
While those in the West take to their swimming pools or hunker down indoors during the heat wave, the eastern half of the country is set for normal and below normal temperatures driven by lower pressure.
"There's a balancing act in the atmospheric pressure," said Chris Stachelski, a weather service meteorologist based in Las Vegas.
He noted that an unusual June heat wave that's had Alaskans shedding their polar fleece in favor of bathing suits is part of a separate high-pressure system centered in the Yukon.
The hottest cities in the West are taking precautions to protect vulnerable residents during the sizzle. Police are pleading with drivers not to leave babies or pets in vehicles, and temporary cooling stations are popping up to shelter homeless people and seniors on fixed incomes who hesitate to use the air conditioning.
Officials said extra personnel have been added to the U.S. Border Patrol's Search, Trauma, and Rescue unit as people illegally crossing the border from Mexico into Arizona could succumb to exhaustion and dehydration.
Several bodies of immigrants have been found in the last week in Arizona. Agents in the Tucson sector rescued more than 170 people from the desert during a 30-day stretch in May and June when temperatures were even lower than expected in the coming days.
At low-lying Lake Mead, which straddles the Arizona-Nevada border and is anticipating 120 degrees this weekend, rangers are positioned at trailheads to discourage hikers.
Earlier in June, a group of Boy Scouts hiking in the Colorado River canyon fell victim to soaring heat. Four teenagers and an adult had to be rescued, while a 69-year-old Scout leader died.

"Glee" star Matthew Morrison is engaged to his girlfriend Renee Puente, a fact he confirmed with a simple tweet, saying he was going to "marry my best friend!"
The news initially came out during Elton John's White Tie and Tierra Ball on Thursday, an event the couple often attend. Coldplay singer Chris Martin dedicated John's "Your Song" to the couple, according to The Hollywood Reporter, and then sang the tune with John himself.
The proposal appears to have been done earlier; E! Online reported that the couple arrived at the event with her already wearing a "huge sparkler" in the appropriate left-hand finger.
Morrison tweeted the news Thursday morning.
They reportedly began dating in 2011, and this will be a first marriage for both.

The ongoing explosion in independently developed, low-budget video games has been a boon for players who travel. Whether I'm on the road with an iPad, an Android smartphone or a laptop, I know there's a huge library of games to play.
When I get home, though, I want to play on a bigger screen. That's where the Ouya comes in. It promises to deliver the best in inexpensive indie gaming on a high-resolution screen, through a small device that runs the Android operating system designed for phones and tablets.
Ouya costs just $100 ? a few hundred dollars less than what you'd pay for a major game console. Thousands of gamers and game developers got Ouyas over the past few months after contributing at least $95 to Ouya's creators through the group-fundraising site Kickstarter. The device went on sale more broadly on Tuesday.
Ouya runs Google's Android system and is built around Nvidia's Tegra 3 processor, used mostly in smartphones and other mobile devices. That should make it easy to port over the thousands of games already made for Android phones and tablets, but for now you're limited to software specifically designed for Ouya. Nearly 180 games are available so far through Ouya's online store, with many more expected.
Each game has a version you can download for free. If you like what you see, you can download a full version for a few bucks. By contrast, games for one of the big three consoles can cost as much as $60 each ? usually with no free trial.
The device itself is a cube measuring 3 inches on each side, with slightly rounded corners on the bottom. The controller is a bit chunkier. It resembles what's available with Microsoft's Xbox and Sony's PlayStation, with two exceptions: The Ouya controller has a touchpad in the middle (although none of the games I sampled took advantage of it), and its grips are longer, each accommodating an AA battery. One controller comes with the Ouya, and extra ones cost $50 each.
Setup is easy once you connect the Ouya to your high-definition television set using a supplied HDMI cable. When you turn on the console, it automatically searches for Wi-Fi connections. You can also connect to the Internet through an Ethernet cable, which you have to provide yourself. Once connected, you need to create an account and supply credit card information.
Then you're taken to a simple menu with four options: play, discover, make and manage. "Make" takes you to an area for potential game developers, while "manage" lets you tinker with system settings.
"Discover" takes you to Ouya's game store. You can find games by genre, such as role-playing, sim/strategy and "meditative." You can also check out showcases such as "couch gaming with friends."
Download speeds aren't bad; it took about 20 minutes for me to transfer a 725-megabyte file over Comcast high-speed Internet. Smaller games are, of course, much faster. The device has 8 gigabytes of internal storage, and you can add more by connecting an external hard drive to the Ouya with a USB cable.
Once you have your game, clicking "play" on the home page takes you to your personal library. Compared with the sometimes daunting menus on the Microsoft's Xbox 360 and Sony's PlayStation 3, Ouya's displays are clean and elegant.
The offerings on the Ouya store vary wildly in quality and ambition. Android is an open platform, so anyone can write software for it. That means you have professionally executed games such as the beloved "You Don't Know Jack" competing head-to-head with the sloppy trivia game "Quizania." Some popular console games, including "The Bard's Tale" and "Final Fantasy III," have been adapted for the Ouya, but it isn't the place for blockbuster titles such as the latest "Call of Duty" and "Grand Theft Auto."
More prevalent are games that have been cult hits on PCs and smartphones, including "Canabalt," ''Saturday Morning RPG" and "Organ Trail." There are a few Ouya exclusives, including the 3-D puzzler "Polarity" and the multiplayer archery game "TowerFall."
Ouya offers high-resolution displays in 1080p, comparable to the PlayStation 3, Xbox 360 and Nintendo's Wii U. Most of the Ouya's offerings are fairly low-def, though, and if you're looking for the wide-screen majesty of "The Elder Scrolls V: Skyrim" or "BioShock Infinite," you won't find it here. If your video-game habit dates back to the 1970s, you'll notice a distinct retro feel to the Ouya's library. That's not a complaint; there's something refreshing about taking on a simple running-and-jumping game such as "Canabalt" after you've survived a grueling epic like Sony's PS3 hit "The Last of Us."
Indeed, some of the more satisfying indie releases of the last few years ? say, "Fez," ''Hotline Miami" or "Monaco: What's Yours Is Mine" ? have combined old-school graphics with game play that's more sophisticated than most big-budget console releases offer. Nothing currently on Ouya matches the quality of those games, but if the system can attract that level of talent, it will be a console to be reckoned with.
If you're a hardcore gamer, it won't replace your Xbox or PlayStation, but for $100 it's a worthy supplement.

?I?m not trying to get her to grow up gay. I?m not hiding my gayness to get her to grow up straight. But she can see that there are many orientations and many ways to be. Hopefully, by the time she grows up we will have a society where those dichotomies of whether you?re gay or straight, a man or a woman aren?t so important. Where people can just be as they feel most natural and comfortable in being.?
In 1975, my father concluded an essay on gay fatherhood with these lines. I was 4 years old, and he was raising me alone in San Francisco. He?d described himself as bisexual when he first met my mother in 1968. They married a year later, as self-styled revolutionaries, believing they could redefine family and gender relations. Then in 1973, my mother was killed in a car accident, and the next year my father moved us to San Francisco, where he could live openly as a gay man and raise me as a single father.
It was difficult to be a gay dad in the 1970s, even in San Francisco. The city was full of young men exploring the concept of sexual liberation, but few of these men were raising kids. And the culture at large was hostile to the idea of gays even mixing with children: In 1977, Anita Bryant successfully rolled back gay rights bills in several states with a campaign to ?Save Our Children?; in 1978, California state Sen. John Briggs tried to pass Proposition 6, an initiative that, if passed, would have removed all?gay?and?lesbian?school employees, and their supporters, from their jobs.?I?m told my extended family wanted to take over raising me after my mother died, but my father told them that if they even tried to take me away, they?d never see me again. He lived in fear then. And he even coached me to hide news of his boyfriends whenever I visited my grandparents in the Midwest.
But despite my father?s fears, he carried hope, believing that by the time I reached adulthood, gay men and women wouldn?t have to hide their romantic preferences for equal access to jobs and services, that people could one day ?just be as they feel most natural and comfortable in being.? Now I?m 42, an adult for more than 20 years, and finally a version of that dream has come true. I can?t help but wonder what he would think. He fought his whole life to raise the profile of gay writers and thinkers, marginalized in his time, through his work as an activist and editor. The experience of gay men and women was so beneath the scope of national concern back then that by the time AIDS began to spread across urban centers of the country in the early ?80s, the Reagan administration turned its back. Conservatives such as Jesse Helms, Jerry Falwell, and Pat Buchanan believed that gay men were solely responsible for their illness and not deserving of government help. In 1983, Buchanan famously quipped, ?The poor homosexuals?they have declared war upon nature, and now nature is extracting an awful retribution.?

Gays were so closely aligned with the terrifying disease of AIDS that they were regularly targeted in random acts of violence and vandalism throughout San Francisco in the ?80s. I remember riding the bus home from school and seeing ?Kill Fags!? spray-painted on a billboard. Another day I saw graffiti scrawled on the back of a bus seat: ?Gays?get help NOT AIDS.? I didn?t want my social identity, so tentative and fragile as a teenager, associated with stigma, so I pushed myself deep into the closet. I was scared. By the time the HIV test was introduced in 1985, close to half of the gay men in San Francisco were already infected. My father was one of them, but neither he nor I were talking about it.
In 1991, my father told me he was diagnosed with full-blown AIDS and asked me to graduate college early and move home. I didn?t feel ready. I was 20 years old, finally making good friends and good grades. I?d secured myself a coveted internship at a record label in New York and an apartment share in the East Village. I then worried that taking on the task of caring for my dad indefinitely would swallow up my burgeoning future. But my father had no long-term lover, no close family member who could step forward. That responsibility was mine alone. And, as he later reminded me, he didn?t feel ready to care for me alone after the death of my mother, but he did it. This is how family works.
I spent the last year of my father?s life nursing him in that same Haight-Ashbury apartment where he raised me before finally moving him into hospice. It was a difficult time, but one I feel fortunate to have known. I enjoyed bringing my father special meals he couldn?t get at the hospice?chocolate ice cream cones from a shop around the corner, miso soup and safe sushi (no raw fish) from our favorite Japanese restaurant. We ate these meals in his too-warm room, often sitting together in silence, with only the sound of his supping or the spoon scraping the bottom of our Styrofoam bowls. My father used to tell me he liked visiting with me above anyone else because other people needed to be entertained. ?I don?t always have energy to be cheered up,? he?d explain. I held his hand when he died in December 1992.
There were times in my life when I longed for the ?normal? family that I saw on TV and in the parking lots of my private school. I blamed the awkwardness and loneliness I sometimes felt as a child on my mother?s accident, foolishly believing my father?s overwhelming grief had ?turned? him gay. When I was little, I even told him that he should date women so I could get back that mother who was lost to me. But had my father done this, he?d not have been happy. And his success as a father, I now realize, was due to his ability to be happy, to love openly, and to parent in concert with, instead of in opposition to, his values and ideals.
I see this same spirit in the gay couples who want to start families today. Unlike the majority of gay parents in my father?s generation, who produced children from straight marriages before coming out themselves, gay men and women who want to become parents in 2013 go to tremendous lengths to do so. They foster children, wait years for expensive adoptions, or navigate complicated surrogate relationships in order to know the pleasure of being someone?s mom or dad. I envy their kids. They get to have their gay families, now recognized as legitimate before the law, and keep them, too.

Cole Real Estate Investments (COLE) began trading as a public company on June 20th at $11.50 per share. Through the offering period of October 2008 to February 2012 the formerly non-traded REIT originally known as Cole Credit Property Trust III raised $4.7 billion. Investors in the REIT have not had access to liquidity throughout the offering stage and now have the ability to sell their shares at will. In addition to listing on the New York Stock Exchange, the company initiated a modified Dutch auction tender offer. Assuming certain conditions are met, investors have an opportunity to earn minimum gross returns of 16% for less than a two month holding period.
The Offer
Cole Real Estate Investments is offering to purchase up to $250,000,000 of its common stock outstanding (roughly 3.9%-4.1% of shares outstanding depending on purchase price) at a purchase price not greater than $13 per share and no less than $12.25 per share. The tender offer is in place until 5:00pm EST on August 8, 2013. Shareholders of record may attempt to tender their shares in $0.05 increments:
$12.25 --- $12.30 --- $12.35 ---- $12.40????$13.00
Cole Real Estate Investments will purchase under the tender offer at the lowest price offered until the full offering amount is reached. For example if $250,000,000 worth of stock is offered at $12.25 and you submit a tender offer at $12.80, you will not have your order filled. If the offer is over-subscribed at a specific bid increment, all tendering shareholders at that increment will be paid on a pro-rata basis.
An interesting point to keep in mind is that shareholders with 99 shares or less and tender their shares will be filled first. Larger blocks of shares will be filled second based upon the conditions described above. This gives investors with a small amount of capital a better chance that their order will be filled at $12.25 (assuming the tender offer goes through).
Why A Tender Offer?
While there are many reasons the company is initiating a tender offer, the most obvious that comes to mind is an attempt to keep the share price temporarily propped up. Keep in mind that investors have been holding this illiquid investment for the past five years and this is their first option for cashing in. I believe Cole management is well aware of this and likely assumes that if an investor sees $11.50 on their account statements the day Cole begins trading and coincidently a tender offer to purchase at $12.25 (roughly 6.5% higher), they are likely to hold shares and submit them for the tender offer. This will hopefully give the market (and investors) some time to evaluate the company as an investment rather than simply selling and moving along.
We saw a very similar scenario play out with Chambers Street Properties (CSG) in June. Shares were listed at $10 and stayed relatively stable during the tender offer period. Although some volatility was present, the company was successful in getting investors to hold their shares. The CSG tender offer was to purchase up to 5% of the shares outstanding and according to the results the company received an offer to purchase 30.57% of the shares outstanding. While there is no guarantee the Cole Real Estate Investments tender offer will directly track the performance of Chambers Street Properties, one could use this as a base case scenario.
The Risks
I would point potential investors to the offering document to review the risks associated with this tender offer. Most importantly to keep in mind is Cole has the ability to extend or withdraw the offer up to one day prior to expiration. If you decided to purchase shares and then participate in the tender offer you will want to keep a close eye on the expiration date as the premium may not materialize. I will highlight a few other risks which I believe are noteworthy:
Return Potential
The return potential on this short term investment depends on several factors. First is your entry price point (for all assumptions below I will use a purchase price of $10.50). Second is the specific bid increment you tender your shares at and if that bid increment is actually filled.
Your actual return may be higher or lower depending on your purchase price and where you decide to tender shares. Of course be aware that the offer may not go through at all.
Conclusion
Keep in mind that Cole Real Estate Investments can rescind this offer at any point prior to August 8th. I would urge any investor to keep a close eye on the company's press releases and financial filings to make sure this does not occur.

After a year of anticipation (and a few delays), the $99 Ouya is finally available at retail outlets. Even better, the Kickstarter-backed indie console has already sold out online on both Amazon and GameStop, a sign that there?s demand for a cheap and flexible Android-backed gaming system.
The Ouya is a trailblazer, paving the way for the Nvidia Shield, the GameStick and even the portable VR system Oculus Rift. But there have been?plenty of rough patches along the way. And if they?re not remedied, then the Android console trend could be tarnished with an untrustworthy reputation.
The first and perhaps most detrimental sin Ouya has committed since moving into production is that it?s done a great job of alienating its core fanbase ? the ?early backers.? Up until today, Ouya has maintained that all?consoles awarded for backing the project initially on Kickstarter were shipped out in May, but plenty of early backers continued to complain about not receiving their consoles. The day before release date of the console, as the Ouya rolled out?physically in stores, CEO Julie Uhrman sent a letter to backers about the issue:
Over the past few months, we encountered and conquered many challenges spanning both hardware and software in order to bring the best product we could to market. We have tried to make sure that the challenges we faced did not impact our early supporters, but unfortunately we came up short.
As a result of this misstep, some early (and mostly international) backers will have to wait another 15 to 17 days before receiving their consoles. The whole tangle has left a bitter taste in the mouths of what was expected to be the Ouya?s core fanbase, following the company?s decision to put retailers ahead of the people.
The second problem with the Ouya is the perceived lack of polish and features from both the hardware and software perspective. When the original review consoles went to journalists in March, first impressions were tepid at best: the hardware felt chintzy, the software was lacking, and the UI was confusing. Ouya took the criticism, raised another round of funding, delayed the first shipment, and spent time retooling the console.
While the new Ouya console has made strides in the wake of its lackluster development model ? including a redesigned controller and updated firmware to address the UI hiccups ? it?s far from perfect. Although games are free to play, the console?requires credit card information to even access any kind of software. Worse, there really isn?t much software at all, at a paltry 175 games, and what?s available is?not great: A quick scan of the top-rated games from Ouya show a handful of emulators, but original titles lack any flash (or?reputation) to bring gamers to the device.
All in all, things aren?t expected to be perfect with an independent console system ? especially the first one for a company. However, the glaring problems with the Ouya could place a black mark on all Android consoles as a whole, and that?s a shame.
Gamers are a fickle and stubborn bunch, and even major players like Microsoft are oftentimes forced to walk back unfavorable situations to something more palatable for the community. At this point, loyal gamers feel like they?ve been duped, cheated, and lied to, so Ouya needs to work double-time over the next six months to bring the console up to par.
A string of great games that don?t require emulators or tricky hacking to run would be a great first step, as would an extra gift to early backers for the delay in execution. With the PlayStation 4 and Xbox One coming down the pike, this is Ouya?s only shot to win back the favor it has unceremoniously lost.

RAFAH, Gaza Strip (AP) ? Thousands of excited Gaza residents have mobbed the area's southern border crossing with Egypt to welcome home the winner of the Arab Idol talent contest.
Around 4,000 people gathered early Tuesday for the arrival of Mohammad Assaf, the 23-year-old who is the first Palestinian to win the popular reality show. His victory on Saturday sparked huge celebrations in the West Bank and Gaza.
Assaf is widely viewed as a unifying symbol in the Palestinian territories. His victory won praise from Palestinian President Mahmoud Abbas and even some officials from Gaza's conservative Hamas rulers.
Assaf is on the Egyptian side of the border and is expected to cross shortly.
After a stop in the Palestinian territories, he plans on moving to Dubai to continue his recording career.

HONG KONG (AP) ? A former National Security Agency contractor wanted by the United States for revealing highly classified surveillance programs has been allowed to leave for a "third country" because a U.S. extradition request did not fully comply with Hong Kong law, the territory's government said Sunday.
Hong Kong's government did not identify the country. Snowden, who has been in hiding in Hong Kong for several weeks since he revealed information on the highly classified spy programs, has talked of seeking asylum in Iceland.
However, Russia's ITAR-Tass news agency cited an unidentified Aeroflot official as saying Snowden would fly from Moscow to Cuba on Monday and then on to Caracas, Venezuela. The WikiLeaks anti-secrecy group tweeted that Snowden was "over Russian air space" and later said in a statement he was bound for an unnamed "democratic nation via a safe route for the purpose of asylum."
The White House had no immediate comment about the departure, which came a day after the United States made a formal request for his extradition and gave a pointed warning to Hong Kong against delaying the process of returning him to face trial in the U.S.
The Department of Justice said only that it would "continue to discuss this matter with Hong Kong and pursue relevant law enforcement cooperation with other countries where Mr. Snowden may be attempting to travel."
The Hong Kong government said in a statement that Snowden left "on his own accord for a third country through a lawful and normal channel."
It acknowledged the U.S. extradition request, but said U.S. documentation did not "fully comply with the legal requirements under Hong Kong law." It said additional information was requested from Washington, but since the Hong Kong government "has yet to have sufficient information to process the request for provisional warrant of arrest, there is no legal basis to restrict Mr. Snowden from leaving Hong Kong."
The statement said Hong Kong had informed the U.S. of Snowden's departure. It added that it wanted more information about alleged hacking of computer systems in Hong Kong by U.S. government agencies which Snowden had revealed.
WikiLeaks said it was providing legal help to Snowden at his request and that he was being escorted by diplomats and legal advisors from the group. Its founder, Julian Assange, who has spent a year inside the Ecuadorean Embassy in London to avoid extradition to Sweden to face questioning about sex crime allegations, told the Sydney Morning Herald that his organization is in a position to help because it has expertise in international asylum and extradition law.
Snowden's departure eliminates a possible fight between Washington and Beijing at a time when China is trying to deflect U.S. accusations that it carries out extensive surveillance of American government and commercial operations. Hong Kong, a former British colony, has a high degree of autonomy and is granted rights and freedoms not seen on mainland China, but under the city's mini constitution Beijing is allowed to intervene in matters involving defense and diplomatic affairs.
Hong Kong has an extradition treaty with the U.S., but the document has some exceptions, including for crimes deemed political.
The Obama administration on Saturday warned Hong Kong against delaying Snowden's extradition, with White House national security adviser Tom Donilon saying in an interview with CBS News, "Hong Kong has been a historically good partner of the United States in law enforcement matters, and we expect them to comply with the treaty in this case."
Snowden's departure came as the South China Morning Post released new allegations from Snowden that U.S. hacking targets in China included the nation's cellphone companies and two universities hosting extensive Internet traffic hubs.
He told the newspaper that "the NSA does all kinds of things like hack Chinese cellphone companies to steal all of your SMS data." It added that Snowden said he had documents to support the hacking allegations, but the report did not identify the documents. It said he spoke to the newspaper in a June 12 interview.
With a population of more than 1.3 billion, China has massive cellphone companies. China Mobile is the world's largest mobile network carrier with 735 million subscribers, followed by China Unicom with 258 million users and China Telecom with 172 million users.
Snowden said Tsinghua University in Beijing and Chinese University in Hong Kong, home of some of the country's major Internet traffic hubs, were targets of extensive hacking by U.S. spies this year. He said the NSA was focusing on so-called "network backbones" in China, through which enormous amounts of Internet data passes.
The Chinese government has not commented on the extradition request and Snowden's departure, but its state-run media have used Snowden's allegations to poke back at Washington after the U.S. had spent the past several months pressuring China on its international spying operations.
A commentary published Sunday by the official Xinhua News Agency said Snowden's disclosures of U.S. spying activities in China have "put Washington in a really awkward situation."
"Washington should come clean about its record first. It owes ... an explanation to China and other countries it has allegedly spied on," it said. "It has to share with the world the range, extent and intent of its clandestine hacking programs."

CINCINNATI (AP) ? An air show in southwestern Ohio reopened with a moment of silence Sunday, a day after a pilot and wing walker died in a horrifying, fiery crash in front of thousands of spectators.
The Vectren Air Show near Dayton, which closed right after Saturday's crash, resumed Sunday in honor of pilot Charlie Schwenker and veteran stuntwoman Jane Wicker, both of Virginia.
"As a pilot, you accept the fact that accidents do happen ? it's an accepted risk we take," said John King, president of the Flying Circus Airshow, which had trained Wicker.
"They were both dedicated to flying and the act. They were true, ultimate professionals," King said. "I don't know of anyone who could have done any better than what they were doing."
Wicker and Schwenker were killed when their plane crashed in front of spectators who screamed in shock as the aircraft became engulfed in flames. No one else was hurt.
Video of the crash showed their plane gliding through the sky before abruptly rolled over, crashing and exploding into flames. Wicker, performing at the Dayton show for the first time, had been sitting atop the 450 HP Stearmans.
The decision to resume the show a day after the crash was an emotional one supported by Wicker's ex-husband, said air show general manager Brenda Kerfoot.
"He said, 'This is what Jane and Charlie would have wanted,'" Kerfoot said. "'They want you to have a safe show and go out there and do what you do best.'"
Wicker, 44, who lived in Bristow, Va., was a mother of two boys and engaged to be married, Kerfoot said.
"She was a well-rounded, delightful woman who was passionate about aviation," said Kerfoot. "She was in the business for a very long time and was well-loved by the air show community; she would certainly have wanted the show to go on."
Schwenker, 64, of Oakton, Va., was married.
The cause of the crash is unclear and the conclusion of an investigation by the National Transportation Safety Board likely will take months. The NTSB planned a mid-afternoon news conference Sunday to discuss the accident.
Wicker's website says she responded to a classified ad from the Flying Circus Airshow in Bealeton, Va., in 1990, for a wing-walking position, thinking it would be fun. She was a contract employee who worked as a Federal Aviation Administration budget analyst, the FAA said.
In one post on Wicker's site, the stuntwoman explains what she loved most about her job.
"There is nothing that feels more exhilarating or freer to me than the wind and sky rushing by me as the earth rolls around my head," the post says. "I'm alive up there. To soar like a bird and touch the sky puts me in a place where I feel I totally belong. It's the only thing I've done that I've never questioned, never hesitated about and always felt was my destiny."
She also answered a question she said she got frequently: What about the risk?
"I feel safer on the wing of my airplane than I do driving to the airport," she wrote. "Why? Because I'm in control of those risks and not at the mercy of those other drivers."
A program for the air show touted Wicker as a performer of "heart-stopping" feats who did moves that "no other wing walker is brave enough to try."
"Wing riding is not for this damsel; her wing walking style is the real thing," the program said. "With no safety line and no parachute, Jane amazes the crowd by climbing, walking, and hanging all over her beautiful ... aircraft.
"Spectators are sure to gasp as this daredevil demonstrates in true form the unbelievable art of wing walking," it says.
On the video of the crash, an announcer narrates as Wicker's plane glides through the air.
"Keep an eye on Jane. Keep an eye on Charlie. Watch this! Jane Wicker, sitting on top of the world," the announcer said, right before the plane makes a quick turn and nosedive.
Some spectators said they knew something was wrong because the plane was flying low and slow.
Thanh Tran, of Fairfield, said he could see a look of concern on Wicker's face just before the plane went down.
"She looked very scared," he said. "Then the airplane crashed on the ground. After that, it was terrible, man ... very terrible."
In 2011, wing walker Todd Green fell 200 feet to his death at an air show in Michigan while performing a stunt in which he grabbed the skid of a helicopter.
In 2007, veteran stunt pilot Jim LeRoy was killed at the Dayton show when his biplane slammed into the runway while performing loop-to-loops and caught fire.
Still, King said, in the four decades since Flying Circus started, many kids have been so inspired watching the show that they later became military and commercial pilots.
"Our show takes them back to the barnstorming era of air shows," he said. "It's amazing how many people have taken up aviation careers because of their first exposure to the Flying Circus."
